How To Dissolve A Nonprofit

When a nonprofit has reached the end of its life cycle, it is time to dissolve the organization.​

This is often a difficult decision. Consider consulting with a lawyer regarding the legal aspects of dissolution.

Steps to dissolving a nonprofit

  1. ​Board determines that the organization needs to close

  2. Review Bylaws and Articles of Incorporation

  3. Ratify the decision by a vote of Board

  4. Draft a plan of dissolution

  5. Resolve the organization's liabilities

  6. Distribute the organization's assets

  7. Review other legal obligations: employees, contracts, constituents and clients, donors and volunteers

  8. Notice of transfer to NM Attorney General

  9. File Articles of Dissolution

  10. Notify other state agencies

  11. Notify IRS
